Related: Privacy Policy

1. Application and agreement

These Terms set out the conditions under which you (the "User") use "Iris" (the "Service"), a personal AI agent service provided by ワールドX株式会社 (the "Company"). By using the Service, you agree to these Terms and the Privacy Policy. If you do not agree, please do not use the Service.

2. Definitions

  • Service: the AI agent service provided by Iris, including but not limited to booking on your behalf (restaurants, beauty, hotels, flights and so on), purchasing on your behalf, entering lotteries and requesting tickets on your behalf, furusato nozei (hometown tax donation) procedures, schedule management, information search and comparison, and AI phone calls.
  • Delegated task: a matter the User instructs Iris to carry out, which Iris completes by operating third-party websites or services or by making phone calls.

3. The Service

Using AI technology, the Service carries out various tasks on the User's behalf, within the scope the User authorises. AI output and the results of its actions are an aid to the User's judgment and may be incomplete, inaccurate or unsuccessful.

The content and features of the Service may be changed, added to, suspended or discontinued at any time, and their continuation is not guaranteed.

4. Eligibility

  1. The Service is for users aged 13 and over. Users aged 13 to 17 may use it with the consent of a parent or legal guardian.
  2. Situations limited to adults aged 18 and over, such as matchmaking, dining that serves alcohol and nightlife, are available only to users aged 18 and over who have completed identity verification (eKYC).
  3. The User guarantees that their registration information is true and accurate, and will update it promptly if it changes.
  4. The Company may refuse to provide the Service at its own discretion (including in cases involving anti-social forces; see Section 13).

5. Accounts and authorisation

  1. The User is responsible for managing their account and sign-in credentials, and for all activity under their account. The User must notify the Company immediately on becoming aware of any unauthorised use.
  2. Before using delegated tasks, the User must explicitly authorise Iris to operate third-party accounts and use the User's payment methods on the User's behalf. The User is responsible for the authorisations they give and their consequences.
  3. The User may revoke authorisations at any time in the Service or on the settings page of the third-party service. Related features may stop working once revoked.

6. Prohibited conduct

The User must not:

  1. Violate laws or public order and morals (including infringing the rights of others)
  2. Use the Service for fraud, money laundering, illegal transactions or circumventing platform rules
  3. Gain unauthorised access to other people's accounts, systems or data
  4. Interfere with the operation, security or performance of the Service, or circumvent access controls or rate limits
  5. Reverse engineer or decompile the Service's software
  6. Abuse the Service at scale by automated means
  7. Upload illegal, harmful or infringing content
  8. Engage in any other conduct the Company reasonably considers inappropriate

7. Disclaimers and limitation of liability

  1. AI output: suggestions, translations, summaries, actions and other output generated by the Service's AI may be inaccurate, incomplete or contain errors, and are not professional advice on legal, financial, medical or similar matters. The User uses them at their own discretion and bears the consequences of relying on them.
  2. Results of delegated tasks: delegated tasks such as bookings, orders, ticket requests and payments may fail in whole or in part due to the rules, inventory or restrictions of third-party websites or services, network conditions and so on. The Company does not guarantee the success or outcome of delegated tasks and is not liable for them, except in cases of the Company's wilful misconduct or gross negligence.
  3. Third-party services: the Service may connect with third-party websites, services or payment providers. Each provider is responsible for the availability, content, terms and privacy practices of its own services, and the Company is not liable for them.
  4. Data and privacy: the handling of personal information is set out in the Privacy Policy.
  5. The disclaimers in this Section do not apply to liability that may not be excluded by law (including Article 8 of the Consumer Contract Act). The Company is liable in accordance with law for damage caused by its wilful misconduct or gross negligence.

8. Intellectual property

Intellectual property rights in the Service and the software, designs, trademarks, logos, mascot (Lumi) and other materials it contains belong to the Company or the rightful owners. The User receives only a non-exclusive, non-transferable, revocable licence to use them to the extent needed to use the Service, and acquires no ownership. The User retains the rights to content they upload, but grants the Company the licence needed to use and process it in providing the Service.

9. Fees

  1. The Service includes free features and paid features (subscriptions, pay-per-use and so on). Specific prices, billing cycles and features are as shown at the time of purchase.
  2. Payment methods, cancellation and refund policies for paid services are set out on the purchase page and in these Terms. Except as otherwise provided by law, amounts for services already used are in principle not refunded.
  3. Payments for third-party transactions made through the Service (bookings, purchases, payments and so on) are received by the third-party business or service. The Company only operates on the User's behalf and, unless otherwise agreed, is not the direct recipient of payment for those transactions.

10. Notice under the Specified Commercial Transactions Act

11. Notes on payment services

The Service's payment features may use either or both of the following models:

  1. Direct charge (no funds held): the User registers a bank account or payment method, and a licensed payment provider charges the User's account directly. Iris only issues instructions and never holds, handles or transfers the User's funds.

  2. Payment collection or prepaid (funds held): if Iris receives money from the User to pay a third party, or the User prepays funds into the Service, this may constitute "funds transfer services" or "prepaid payment instruments" under the Payment Services Act, and can be offered only after obtaining the necessary registration or licence.

The Company will offer the relevant payment features only after obtaining the necessary registration or licence. Prepaid funds are not deposits and earn no interest. The nature and handling of the relevant payment features will be stated separately when they are launched.

12. Changes, suspension and termination of the Service

  1. The Company may temporarily suspend all or part of the Service for maintenance, system updates, force majeure and similar reasons.
  2. Based on its business judgment, the Company may change or terminate all or part of the Service after giving reasonable notice.
  3. If the User breaches these Terms, the Company may suspend or terminate the User's account and is not liable for any resulting consequences.

13. Exclusion of anti-social forces

  1. The User represents and warrants that neither they, their officers nor any person who effectively controls them is an organised crime group, a member or associate member of one, a company related to one, a corporate racketeer (sokaiya) or other anti-social force, and that they have no close relationship with any such force.
  2. If the User breaches the preceding paragraph, the Company may terminate the agreement under these Terms without notice.
  3. If the agreement is terminated under the preceding paragraph, the User may not claim damages, and fees already paid will not be refunded, as a measure against the breach.

14. Changes to these Terms

The Company may change these Terms as its business requires. Changes will be announced in the app or on the website. Continuing to use the Service after a change means the User accepts the revised Terms.

15. Governing law and jurisdiction

These Terms are governed by and interpreted in accordance with the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance for all disputes arising in connection with the Service.
